Easy Eatery Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Easy Eatery platform (the “Service”).

By creating an account, subscribing to, or using the Service, you agree to be legally bound by these Terms.

1. Business Use Only

The Service is provided for business use only.

By subscribing, you confirm that you are acting in the course of a business, trade, or profession and not as a consumer.

2. Description of the Service

Easy Eatery provides an online website builder SaaS platform designed for hospitality businesses, including:

  • Website hosting and builder tools
  • Booking system functionality
  • Gift voucher sales tools
  • Customer database features
  • Transactional communications (e.g. booking confirmations and voucher emails)

We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your business purposes.

3. Account Registration

You must:

  • Be at least 18 years old
  • Provide accurate information
  • Keep login credentials secure

You are responsible for all activity under your account.

4. Setup and Onboarding Fee

All new subscriptions include a mandatory one-time £250 setup and design fee, unless otherwise agreed in writing.

This covers:

  • Initial onboarding
  • Website configuration
  • Template setup
  • Design adjustments within agreed scope

The setup fee is non-refundable once work has commenced.

Additional bespoke work beyond standard onboarding may incur additional charges.

5. Subscription Fees and Payment

Access to the Service is provided on a subscription basis.

  • Subscription fees are billed in advance on a recurring monthly basis.
  • By subscribing, you authorise Easy Eatery to charge your selected payment method automatically on each billing date.
  • All fees are payable in pounds sterling (£).
  • All fees are non-refundable except where required by law.
  • If payment fails or is declined, we may, after a grace period, suspend or terminate access to the Service until payment is successfully processed.

Easy Eatery is not currently VAT registered and does not charge VAT.

If our VAT registration status changes in future, we reserve the right to apply VAT in accordance with UK law and will provide reasonable notice before doing so.

We may update subscription pricing with at least thirty (30) days’ written notice.

Continued use of the Service after a price change takes effect constitutes acceptance of the updated pricing.

6. Payment Processing

Payment processing services are provided by third-party payment processors (such as Stripe) under separate agreements between you and the payment provider.

Easy Eatery:

  • Does not process, hold, or control customer funds
  • Is not a party to payment transactions
  • Is not responsible for payment failures, fraud, chargebacks, refunds, or disputes

You are solely responsible for:

  • Maintaining an active payment processor account
  • Complying with the processor’s terms
  • Managing refunds and disputes
  • Tax and financial obligations

If your payment processor suspends your account, this may affect Service functionality. We are not liable for resulting losses.

7. Bookings and Gift Vouchers

You are solely responsible for:

  • Honouring bookings
  • Honouring gift vouchers
  • Compliance with consumer protection laws
  • Setting and enforcing voucher expiry policies

Gift vouchers create a contractual obligation between you and your customers.

Easy Eatery provides the technology platform only and is not responsible for disputes between you and your customers.

We do not guarantee booking accuracy where third-party systems or customer input errors are involved.

8. Customer Content

You retain ownership of content uploaded to the Service.

You grant us a licence to host, store, process and display content solely to provide the Service.

You are responsible for ensuring your content complies with applicable law.

9. Acceptable Use

You must not use the Service to:

  • Violate laws
  • Infringe intellectual property
  • Transmit malware
  • Host unlawful or harmful content
  • Interfere with platform security

We may suspend accounts that breach this section.

10. Beta Service

The Service is currently provided in beta form.

You acknowledge that:

  • Features may change or be removed, with at least 30 days notice
  • The Service may contain bugs or minor issues
  • Availability may vary

We provide a bug reporting mechanism and endeavour to resolve issues as reasonably possible.

No guarantee is given regarding uninterrupted operation or feature permanence.

11. Service Changes

We may modify, suspend or discontinue any part of the Service at any time.

Where reasonably possible, we will provide advance notice of material changes.

12. Support

Support is provided via email, telephone and the customer support portal.

Response times are not guaranteed unless separately agreed, however we will endeavour to deal with all requests as quickly as possible.

13. Data Retention and Export

Upon termination or expiry:

  • Data is retained for up to six (6) months.
  • You may request export during this period.

Current export format includes:

  • CSV of upcoming bookings
  • CSV of unredeemed gift vouchers
  • CSV of customer address book
  • Copy of your website theme (if custom design purchased)

A £20 export fee applies per request. A request can contain multiple exports.

After six (6) months, data may be permanently deleted.

14. Chargebacks and Payment Disputes

If you initiate a chargeback without valid grounds, we may immediately suspend your account and website.

You remain responsible for unpaid fees and chargeback costs incurred.

15. Suspension

We may suspend access immediately where necessary to:

  • Protect Service integrity
  • Prevent unlawful activity
  • Respond to legal requirements
  • Prevent harm to other users

16. Intellectual Property

All rights in the Service, software, templates and branding belong to Easy Eatery.

Custom design elements rights transfer to you upon full payment, excluding underlying platform technology.

17. Feedback

If you provide suggestions or feedback, you grant us a perpetual, royalty-free licence to use it without restriction or compensation.

18. Publicity

Unless you request otherwise in writing, we may identify you as a customer and use your business name and logo for promotional purposes.

We are proud to support independent hospitality businesses and will represent your brand respectfully.

19. Data Protection

Personal data is processed in accordance with our Privacy Policy and Data Processing Agreement.

20. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control.

21. Limitation of Liability

Nothing excludes liability that cannot be excluded under UK law.

Our total aggregate liability shall not exceed the total subscription fees paid by you in the twelve (12) months preceding the claim.

We shall not be liable for:

  • Loss of profits
  • Loss of revenue
  • Loss of bookings
  • Loss of goodwill or reputation
  • Loss of data (except where caused by wilful misconduct)
  • Indirect or consequential loss

22. No Partnership

Nothing creates a partnership, joint venture, agency or employment relationship.

23. Assignment

We may assign these Terms in connection with a merger, acquisition or sale of assets.

24. Entire Agreement

These Terms constitute the entire agreement between the parties.

25. Governing Law

These Terms are governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction.
